A Gemini acquisition has emerged as a potential strategic option after the crypto platform lost roughly 80% since its public debut. ARK Invest digital-assets researcher Lorenzo Valente proposed that Hyperliquid could acquire Gemini. The idea centers on Gemini’s US regulatory infrastructure, customer base and trading technology.

Gemini’s market value has fallen sharply from its peak near $4 billion. Its second-quarter exchange revenue fell 38% year over year to $12.5 million.
Spot trading volume also dropped 66% to $3.8 billion during the quarter. Assets held on the platform declined to $8.4 billion from $18.2 billion.
The proposed Gemini acquisition would therefore focus on assets beyond its shrinking exchange activity. Gemini holds several regulatory approvals that could take competitors years to obtain independently.
These include its New York trust charter and CFTC-regulated derivatives infrastructure. Gemini is also pursuing a futures commission merchant license, according to Valente.
Gemini Acquisition Faces Control and Valuation Questions
A major consideration is Gemini’s concentrated shareholder control. Cameron and Tyler Winklevoss hold roughly 94.7% of the company’s voting power through its dual-class structure.
That structure could simplify negotiations but also limits the ability of other shareholders to force a transaction. Any Gemini acquisition would therefore depend heavily on the twins supporting a sale.
Crypto M&A has increasingly focused on regulatory licenses and infrastructure. Kraken’s parent agreed to pay up to $550 million for Bitnomial, highlighting the potential value of regulated derivatives assets.
Valente estimated Gemini’s regulatory stack could be worth about $200 million independently. He also cited 580,000 monthly transacting users and $8.4 billion in platform assets.
There is no indication that Hyperliquid has formally pursued the Gemini acquisition. The proposal instead highlights how falling valuations can reshape strategic opportunities around regulated crypto infrastructure.
